Company registration is a legal document issued by the Trade Registry of El Salvador that allows legal entities to engage in commercial activities within the country. According to the Commercial Code of El Salvador, registration is compulsory and must be renewed annually in the month the company is registered with the Trade Registry. This registration grants legitimacy to companies, allowing them to formally identify themselves before authorities and the public, and facilitates compliance with tax and commercial obligations; without it, companies cannot operate legally.
The renewal of company registration must be done annually before its expiration to avoid fines and legal issues. The process includes the following steps:
- Review of the validity of the previous registration.
- Collection of necessary documentation, such as financial statements corresponding to the year being renewed and a business solvency certificate for that year issued by the National Office of Statistics and Censuses of the Central Reserve Bank.
- Submission of a renewal application to the Trade Registry.
- Payment of the corresponding renewal fee, which will depend on the amount of the company’s assets at the end of the previous fiscal year being renewed.
By following these steps, the company ensures compliance with the provisions of the Commercial Code.
Failing to renew the company registration on time has serious legal and financial consequences. According to Article 508 of the Commercial Code of El Salvador, companies that do not renew their registration may face substantial fines. Additionally, failure to renew prevents the company from engaging in valid commercial acts.
Company registration is a key element for the legal conduct of business in El Salvador. Keeping it up to date not only allows companies to operate according to the law but also protects their commercial interests. Timely renewal is the company’s responsibility, and failing to do so can lead to penalties and severely affect business operations.
